THIS APP (INCLUDING ALL COURSES, JOURNALS, EXERCISES, AND RESOURCES) IS NOT A REPLACEMENT FOR TRADITIONAL PROFESSIONAL THERAPY. IT IS INTENDED SOLELY AS A THERAPY AIDE, SELF-HELP RESOURCE, OR SUPPLEMENT TO ONGOING THERAPY.

1. ACCEPTANCE OF TERMS

By purchasing, accessing, or using the Forward Ethos App (the "App"), which includes all courses, journals, exercises, resources, and materials provided by Forward Ethos ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. NATURE OF SERVICE (NOT MEDICAL ADVICE)

  1. Educational Purpose Only: The content provided in our App, including videos, workbooks, journals, exercises, and text, is for educational and informational purposes only. It is not intended to diagnose, treat, cure, or prevent any mental health condition.

  2. No Doctor-Patient Relationship: Your use of this App does not establish a doctor-patient, therapist-client, or other professional relationship between you and Forward Ethos or any of its instructors.

  3. Personal Responsibility: You acknowledge that you are participating voluntarily in using our App and that you are solely and personally responsible for your choices, actions, and results.

  4. No Guarantee of Results: Forward Ethos does not guarantee that using the App will resolve your mental health issues, cure any condition, or provide specific results. Mental health progress is highly individual and depends on many factors beyond the scope of this App.

3. INTELLECTUAL PROPERTY & DIGITAL LICENSE

Notice to California Consumers regarding Assembly Bill 2426:

  1. License, Not Sale: You acknowledge and agree that the digital goods (including the App, online courses, videos, and downloadable materials) provided by Forward Ethos are licensed to you, not sold. You are acquiring a limited, revocable, non-transferable, non-exclusive license to access and use the content for your personal, non-commercial use only.

  2. Ownership & Proprietary Rights:

    • Content: Forward Ethos owns all rights, title, and interest in the App and all materials therein, including but not limited to software, text, graphics, images, video, audio, logos, and the compilation thereof ("Company IP").

    • Trademarks: The Forward Ethos name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Forward Ethos. You must not use such marks without our prior written permission.

  3. Strict Restrictions: You agree that you will NOT:

    • Copy or Distribute: Reproduce, redistribute, sell, lease, or publicly display any App materials or Company IP.

    • Record: Screen-record, capture, or download video content for distribution.

    • Reverse Engineer: Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the App.

    • Create Derivative Works: Modify, adapt, improve, or create derivative works from the App or any part thereof.

    • Share Access: Share your login credentials with others to avoid purchasing multiple licenses.

  4. Revocation: We reserve the right to revoke your license and terminate your access immediately, without refund, if you violate these Terms or if we are no longer able to provide the content due to legal or business reasons.

4. USER ELIGIBILITY & ACCOUNTS

  1. Age Requirement: You must be at least 18 years of age to purchase or use our App.

  2. Account Security: You are responsible for maintaining the confidentiality of your account login information. You agree to notify us immediately of any unauthorized use of your account.

5. SUBSCRIPTIONS & AUTOMATIC RENEWAL

If you purchase a subscription to the App, the following terms apply:

  1. Automatic Renewal: Your subscription will automatically renew for the same duration as your initial term (e.g., monthly or annually) unless you cancel at least 24 hours before the end of the current period.

  2. Payment Method: You authorize the applicable App Store (Apple or Google) to charge your payment method for the renewal term.

  3. Cancellation: Deleting the App does NOT cancel your subscription. You must cancel through your device's App Store settings (e.g., Apple ID > Subscriptions or Google Play > Subscriptions).

  4. Price Changes: We reserve the right to adjust pricing for our service or any components thereof in any manner and at any time as we may determine in our sole discretion. Any price changes will take effect following notice to you.

6. PROHIBITED CONDUCT

You agree not to use the App for any unlawful purpose or in any way that interrupts, damages, or impairs the service. Specifically, you agree NOT to:

  1. Harass or Abuse: Harass, threaten, or abuse Forward Ethos employees, support staff, or other users.

  2. Impersonate: Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

  3. Spam: Upload, post, or transmit unsolicited commercial email, "spam," or chain letters.

  4. Harmful Code: Transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature.

  5. Bots & Automation: Use any robot, spider, scraper, or other automated means to access the App, register accounts, or extract data without our express written permission.

7. PAYMENT & REFUND POLICY

  1. All Sales Final: Due to the digital nature of our products, all sales are final. We do not offer refunds once access to the digital content has been granted, except as required by applicable law.

  2. Pricing: We reserve the right to change our pricing at any time.

8. DATA STORAGE & CONTENT OWNERSHIP

  1. Hosted Account Data: To provide the Service, Forward Ethos stores specific account information on our servers, including your username, login credentials, date of birth, and course progress ("Account Data"). We maintain this data to allow you to log in and track your progress across devices.

  2. Local Journal Data: You acknowledge and agree that your private journal entries and personal reflections ("Journal Data") are stored locally on your personal device. Forward Ethos does not host, store, transfer, or have access to your Journal Data on our servers.

  3. Data Recovery & Loss:

    • Account Data: We can assist with password resets and restoring course progress if you switch devices, provided you use the same credentials.

    • Journal Data: Because Journal Data is stored locally, we cannot recover it if you delete the App, lose your device, or clear your storage. You are solely responsible for backing up your Journal Data.

9. INDEMNIFICATION

I shall fully defend, indemnify, and hold harmless Forward Ethos and all its employees, volunteers, and subsidiaries from any and all claims, lawsuits, demands, causes of action, liability, loss, damage, and/or injury, of any kind whatsoever (including without limitation all claims for monetary loss, property damage, equitable relief, personal injury, and/or wrongful death), whether brought by an individual or other entity, or imposed by a court of law or by administrative action of any federal, state, or local governmental body or agency, arising out of, in any way whatsoever, any acts, omissions, negligence, or willful misconduct related to my use of the App. I hold harmless its officers, owners, personnel, employees, agents, contractors, invitees, or volunteers. This indemnification applies to and includes, without limitation, the payment of all penalties, fines, judgments, awards, decrees, attorneys' fees, and related costs or expenses, and any reimbursements to Forward Ethos for all legal fees, expenses, and costs incurred by it.

10. DISCLAIMER OF WARRANTIES & LIMITATION OF LIABILITY

  1. "AS IS" Disclaimer: TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. FORWARD ETHOS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

  2. Limitation of Liability: In no event shall Forward Ethos be liable for any direct, indirect, incidental, special, or consequential damages resulting from your use or inability to use the App, including but not limited to reliance by you on any information obtained from the App, loss of data, or damage to your device.

  3. Third-Party Links: The App may contain links to third-party websites or resources. You acknowledge and agree that we are not responsible or liable for the availability, accuracy, content, or policies of such third-party websites or resources.

11. DISPUTE RESOLUTION (ARBITRATION & CLASS ACTION WAIVER)

PLEASE READ THIS SECTION CAREFULLY—IT AFFECTS YOUR LEGAL RIGHTS AND GOVERNS HOW YOU AND FORWARD ETHOS CAN BRING CLAIMS AGAINST EACH OTHER. THIS SECTION WILL, WITH LIMITED EXCEPTION, REQUIRE YOU AND FORWARD ETHOS TO SUBMIT CLAIMS AGAINST EACH OTHER TO BINDING AND FINAL ARBITRATION ON AN INDIVIDUAL BASIS.

  1. Agreement to Arbitrate: You and Forward Ethos agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the App (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

  2. Class Action Waiver: YOU AND FORWARD ETHOS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Forward Ethos agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

  3. Arbitration Rules: The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the "AAA Rules") then in effect, except as modified by this "Dispute Resolution" section.

  4. Arbitration Location: Unless you and Forward Ethos otherwise agree, the arbitration will be conducted in the county where you reside. If your claim does not exceed $10,000, then the arbitration will be conducted solely on the basis of documents you and Forward Ethos submit to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary.

  5. Opt-Out: You have the right to opt-out and not be bound by the arbitration and class action waiver provisions set forth in this section by sending written notice of your decision to opt-out to the following email: [email protected]. The notice must be sent within thirty (30) days of your first use of the App or purchase of a course, otherwise you shall be bound to arbitrate disputes in accordance with the terms of those paragraphs. If you opt-out of these arbitration provisions, Forward Ethos also will not be bound by them.

  6. Exceptions for International Users: If you are a consumer located in the European Union, United Kingdom, or other jurisdiction where laws prohibit mandatory arbitration for consumers, the arbitration and class action waiver provisions in this Section 11 shall not apply to you, and you may bring legal proceedings in your local courts.

12. MISCELLANEOUS

  1. Force Majeure: Forward Ethos shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including, but not limited to, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes or shortages of transportation facilities, fuel, energy, labor or materials, or failures of the internet or third-party service providers.

  2. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and of no effect. Forward Ethos may assign or transfer these Terms, at its sole discretion, without restriction.

  3. No Waiver: The failure of Forward Ethos to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.

  4. Feedback: If you provide us with any feedback, suggestions, or ideas regarding the App ("Feedback"), you hereby assign to Forward Ethos all rights in such Feedback and agree that Forward Ethos shall have the right to use and fully exploit such Feedback and related information in any manner it deems appropriate.

13. APP STORE & GOOGLE PLAY TERMS

If you downloaded the App from the Apple App Store or Google Play Store, the following terms apply:

  1. Acknowledgment: This Agreement is between you and Forward Ethos only, and not with Apple or Google. Forward Ethos, not Apple or Google, is solely responsible for the App and the content thereof.

  2. Maintenance: You acknowledge that Apple and Google have no obligation whatsoever to furnish any maintenance and support services with respect to the App.

  3. Warranty: In the event of any failure of the App to conform to any applicable warranty, you may notify Apple or Google, and they will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple and Google will have no other warranty obligation whatsoever with respect to the App.

  4. Third-Party Beneficiary: You acknowledge and agree that Apple and Google, and their subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, they will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.

14. SERVICE UPDATES & TERMINATION

  1. Service Modifications & Interruption: Forward Ethos reserves the right to modify, suspend, interrupt, or discontinue, temporarily or permanently, the App or any service to which it connects, for maintenance, updates, or other changes, with or without notice and without liability to you.

  2. Termination by User: You may terminate this Agreement at any time by deleting the App and all copies thereof from your mobile device.

  3. Account Deletion: You may delete your account and associated Account Data at any time through the App's settings or by contacting us at [email protected]. Upon deletion, your Hosted Account Data will be removed from our active servers, though some data may remain in our backups for a limited period as required by law.

  4. Termination by Company: Forward Ethos may terminate this Agreement at any time without notice if we cease to support the App, or if you fail to comply with any term(s) of this Agreement. Upon termination, you must cease all use of the App and delete all copies.

15. EXPORT COMPLIANCE

You may not use or otherwise export or re-export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained. In particular, but without limitation, the App may not be exported or re-exported (a) into any U.S. embargoed countries or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person’s List or Entity List. By using the App, you represent and warrant that you are not located in any such country or on any such list.

16. GENERAL PROVISIONS

  1. Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.

  2. Entire Agreement: This Agreement contains the entire agreement between the Parties related to the matters specified herein and supersedes any prior oral or written statements.

  3. Modifications: We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting to the website or App. Your continued use of the Service constitutes acceptance of the modified Terms.

  4. Surviving Provisions: The provisions of these Terms which by their nature should survive the termination of these Terms shall survive such termination, including but not limited to the restrictions regarding Intellectual Property, Indemnification, Disclaimer of Warranties, Limitation of Liability, and Dispute Resolution.

  5. Privacy: Your use of our App is also subject to our Privacy Policy, available at https://www.google.com/search?q=https://forwardethos.org/privacy-policy, which is incorporated herein by reference.

  6. Governing Law: This Agreement shall be governed by the laws of the State of California, United States. However, if you are a consumer based in the European Union or United Kingdom, you may benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.

17. CALIFORNIA CONSUMER NOTICE
